Contato: Paulo da Costa Valle Leitão

Conteúdo:
VCP, Votorantim Group’s pulp and paper sector company has been the latest company to be included in the Dow Jones Sustainability Index (DJSI), which gathers actions of the largest companies in the world considered to be the best as for economic development, and good environmental and social practices.

VCP becomes the 8th Brazilian company to form the index, and the only new one included from the Country among the 35 guest companies to participate in the initiative in 2008. Participating in the selection process for the first time, VCP is thus comprised in the Paper and Forests sector, within the Basic Materials segment, beside Aracruz.

"Being the only Brazilian company to make its start in this year’s index is an acknowledgement – by an international institution – to VCP’s efforts at creating economic value allied to the best social and environmental practices", states Valdir Roque, VCP’s Finance and Investor Relationship Director.

Company evaluation is carried out by Swiss consulting SAM Group, through combination of a dissertative questionnaire, the answers to which must be supported by confirmation documents and complemented by an analysis based upon media and stakeholders so as to assess each company’s economic, environmental, and social performance.

VCP, founded 20 years ago, has an integrated operation encompassing from planted Forest timber production into pulp and paper production, and through to product distribution to the end consumer. Eco-efficient, sustainable production has been a constant goal for the company, along with the objective of reaching a worldwide relevance position as for pulp, with advanced technologies and competitive costs.

For VCP, sustainability involves value creation with strategic publics. Some actions standing out in this line are the building of relationships and spreading of values among the stakeholders, the Eco-Efficiency concept for staple consumption at lower levels than the world average for pulp and paper production, the rural-producer-eucalyptus-planted Forest Savings program seeking social inclusion, among others.

The company has become a national reference as for pulp production water use, and more recently, an unprecedented study by the UNPD (United Nations Program for Development) has highlighted the Forest Savings Program by VCP as an example for combating poverty and contributing to human development.

All practices are aligned to the company’s commitment to the Global Pact. Since 2007, VCP has been a signee to this initiative by the UNO and has developed a number of actions linked to these themes: human rights, labor relations, the environment, and fighting corruption. This means a real commitment from the company to responsible actions.

About the Dow Jones Sustainability Index (DJSI)

Launched in 1999, the DJSI evaluation has been conducted by an independent, capital-market-specialized Swiss consulting firm, SAM Group. For this 10th edition, the 2,545 largest companies in the world have been selected. The selection process is sector-segmented, with the "best in class" approach wherein only 10% of the companies in each area enter the index.

Data: 9/8/2008

Chamada Noticia: After evaluation from SAM Goup, VCP comes into list of best economical performance and social & enviromental practices enterprises. VCP is the only Brazilian enterprise debuting in 2008 review.

Conteúdo:
Votorantim Group, which is part of Aracruz Celulose S.A.’s control block, announced on the 6th that Arapar S.A.’s shareholders, also part of the Company’s control group, accepted the proposal of acquisition by Votorantim of its common shares corresponding to 28% of voting capital. The total proposal amount is R$2.71 billion (corresponding to 127,506,457 common shares). Should the acquisition become effective, Votorantim’s intention is to promote corporate restructuring in its subsidiary VCP and in Aracruz, aiming at acquiring synergies, comprising a worldwide leader in the pulp sector and reaffirming Brazil’s position in a highly competitive, globalized marked.

The operation is subject to Arainvest Participações S.A.'s decision, also part of Aracruz’s control block, which will have 90 days to exercise the preemptive right to acquire Arapar’s shares or tag-along right to Votorantim, as set forth in the equity agreement executed in 2003 between Arapar and Arainvest.

Should Arainvest waive its preemptive right and tag along right, Votorantim will propose an agreement to Arainvest, aiming at sharing Aracruz and VCP’s share control.

Should the operation be confirmed, the discounted cash flow method ("DCF") shall be applied to define the exchange ratio between both companies’ shares, based on the assessment of Banco ABN Amro Real.

Since the transfer of shares set forth in this agreement will involve only members of the current control block, the deal does not require presentation, to other holders of Aracruz’s common shares, of public offering, once there will be no disposal of the Company’s control.

The companies will submit this operation to regulatory agencies, including the Brazilian Securities and Exchange Commission (CVM) and the Brazilian Antitrust System. Similarly, shareholders and the market will be informed on the evolution of negotiations with Arainvest.
